Strategic Cyber Risk & Governance for Boardrooms & Executive Leaders

Bridging complex cybersecurity, financial risk quantification and board-level governance, from the architecture review to the boardroom.

Exhibit A · Illustrative

Same risks. A report the board can act on.

Most board cyber reports are heat maps: colors without prices. Toren rebuilds the same picture in money, the way a CPA would treat any other risk on the balance sheet.

FAIR model, 10,000 simulated years, illustrative inputs. The curve covers ransomware and the vendor exposure. Delayed deals are revenue at risk, kept separate: $0.9M a year, $0.2M after the fix.

DECISION

Fund all three fixes for $285K. Expected loss falls by $3.2M a year, about $11 for every $1 spent, and revenue at risk by $0.7M.

The usual report is a five by five heat map of likelihood against impact, with three risks in red squares and no amounts. The Toren report simulates 10,000 possible years with the FAIR model and plots a loss exceedance curve: the chance that a year's loss from ransomware and the vendor exposure tops a given amount. Today expected loss is $4.35M a year, a 1-in-20 year loses more than $18.0M and a 1-in-100 year more than $26.5M. After the three fixes, costing $285K, expected loss is $1.15M, a 1-in-20 year $6.3M and a 1-in-100 year $9.6M. Ransomware falls from $3.0M to $0.7M a year after a $180K fix, the vendor exposure from $1.35M to $0.45M after a $60K fix, and delayed enterprise deals, counted separately as revenue at risk, from $0.9M to $0.2M after a $45K fix.

Who it's for

Built for the people who answer for risk.

Scale-up tech companies

Enterprise procurement is slowing deals: security and AI questionnaires, SOC 2, ISO 27001 or ISO 42001 requests, and CMMC clauses in defense contracts.

THE OUTCOME

Security reviews that close, and a certification path with a budget the CFO has approved.

VC & private equity funds

You are acquiring or investing in a tech asset and need to know what security risk comes with it, before the price is final.

THE OUTCOME

A red-flag memo the investment committee can act on, and a 100-day plan for after the close.

Boards & CFOs

Security spending keeps rising, and the board cannot tell whether risk is actually going down. Meanwhile regulators expect boards to oversee cyber risk: Israel's Amendment 13 and Securities Authority, the SEC and NIS2.

THE OUTCOME

A board-ready view of risk, and a security budget tied to measurable risk reduction.

CTOs & VPs of R&D

You own the architecture and the tooling: cloud and identity design, secure development, AI features, and which security tools are worth buying.

THE OUTCOME

Vendor-neutral technical answers, an architecture that holds up in a customer's security review, and a roadmap your engineers can ship.

Advisory services

Five engagements, each with defined deliverables.

Every engagement has a fixed fee. Scope, fee and deliverables are agreed in writing before work starts.

Monthly retainer

Board & C-Suite Advisory Retainer

Strategic oversight for the board and the executive team.

  • Quarterly board-level cyber risk briefing
  • A fixed monthly block of advisory hours for the CEO, CFO, CTO and board
  • Independent review of security strategy, budget and major decisions

Fixed monthly fee, scope reviewed together every quarter. Advisory only, not an executive role or an on-call service.

Cyber & Regulatory Readiness Assessment

ISO 27001, SOC 2, ISO 42001 for AI, CMMC, NIST CSF, SOX and enterprise procurement.

  • Gap assessment against the target framework
  • Remediation roadmap with a cost and an owner for every gap
  • Procurement readiness: security and AI questionnaires, evidence and contract terms

Fixed price, with an end date set to your audit schedule. Your independent auditor or assessor issues the certification.

M&A & PE Cyber Due Diligence

For investors assessing a target, and for companies preparing for a sale or fundraise.

  • Pre-close cyber risk assessment of the target
  • Financial exposure and security tech-debt estimate
  • Red-flag memo for the investment committee and a 100-day post-close plan
  • Sell-side readiness: find and fix the issues before the buyer's diligence does

Executive Cyber Risk Quantification

Translating technical vulnerabilities into dollar exposure.

  • Top risks expressed as annualized loss-exposure ranges
  • Cost-benefit case for each proposed security investment
  • Risk appetite statement and a board reporting format

Technical Security Advisory

For CTOs and VPs of R&D: architecture, tooling and secure development decisions.

  • Architecture and design reviews: cloud, identity, data flows and AI features
  • Vendor-neutral tool selection: requirements, a shortlist and a recommendation with total cost
  • Secure development program sized to your team: SDLC, AppSec and DevSecOps practices
  • A second opinion on a specific security problem, before you commit budget or code

Advisory only: Toren reviews and recommends, and your team or your chosen vendor implements. No vendor relationships, so no product to push.

About the founder

A CISO who reads the balance sheet.

Security leaders speak in controls. Boards and CFOs decide in dollars. Toren is led by an enterprise CISO who is also a Certified Public Accountant, so both languages are in one conversation, with no product to sell.

Ten years in security leadership, including CISO of a high-growth enterprise SaaS company. The founder built and led a CISO services team that advised dozens of companies in Israel and abroad, and has led companies through ISO 27001, SOC 2, CMMC, HIPAA and PCI DSS.

The background spans enterprise security, financial audit and governance architecture. As a former PCI DSS QSA, the founder has also sat on the assessor's side of the table.

Questions

Before we talk.

Does Toren replace our CISO?

No. Toren is an independent advisor, not an executive role. Boards and executives work with Toren alongside their CISO or security lead.

Do you audit or certify us?

No. A readiness assessment prepares you; your independent auditor or assessor issues the certification or report. That separation keeps the advice independent.

Which regulations put cyber risk on the board's agenda?

In Israel, Amendment 13 to the Privacy Protection Law and the Israel Securities Authority's expectations of reporting companies. In the US, the SEC's cybersecurity disclosure rules ask public companies to describe how the board oversees cyber risk. In the EU, NIS2 makes management bodies approve and oversee cybersecurity measures. Toren prepares the board to meet these expectations; legal advice stays with your counsel.

Who will we work with?

Directly with the founder. No account managers and no junior handoffs.

How do you handle confidentiality and conflicts of interest?

An NDA is signed before any specifics are shared. Toren has no vendor relationships, and declines work that would create a conflict.

Where do you work?

Based in Israel, working with leadership teams in Israel, the US and Europe, remotely or in person.
